TERMS OF SERVICE

Welcome to SAINT MILES®, a sanctuary for colorful brands. These Terms of Service ("Terms") govern your access to and use of saintmiles.co (the "Site") and any purchases you make through it. By visiting the Site or purchasing from us, you agree to these Terms. If you do not agree, please do not use the Site.

Throughout these Terms, "SAINT MILES," "we," "us," and "our" refer to Saint Miles, Inc., a Delaware corporation, operating as SAINT MILES®.

1. THE SAINT MILES MARKETPLACE

SAINT MILES® is a curated marketplace. Products offered on the Site are designed, manufactured, and fulfilled by independent third-party brands ("Partner Brands") that have been vetted and selected by SAINT MILES. When you purchase a product on the Site, SAINT MILES processes your order and payment, and the Partner Brand fulfills and ships the product.

SAINT MILES curates the marketplace with care, but Partner Brands are solely responsible for the design, manufacture, quality, safety, labeling, and regulatory compliance of their products. SAINT MILES does not manufacture the products sold on the Site unless expressly identified as a SAINT MILES® branded product.

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between SAINT MILES and any Partner Brand, or between you and SAINT MILES beyond that of customer and marketplace operator.

2. ELIGIBILITY

By using the Site, you represent that you are at least 18 years of age, or that you are at least the age of majority in your state or province of residence and have the legal capacity to enter into these Terms. You may not use our products or the Site for any illegal or unauthorized purpose.

3. PRODUCTS, PRICING, AND AVAILABILITY

All products are subject to availability. We reserve the right to discontinue any product, limit quantities, or refuse any order at our sole discretion.

Prices are displayed in the currency you select and are subject to change without notice. We make every effort to display product descriptions, images, and pricing accurately, but we do not warrant that all content is error-free. In the event of a pricing or description error, we reserve the right to cancel the affected order and issue a full refund.

Colors and details of products may vary slightly from what appears on your screen due to display differences.

4. ORDERS AND PAYMENT

By placing an order, you make an offer to purchase, which we may accept or decline. We reserve the right to refuse or cancel any order, including orders that appear to be placed by dealers, resellers, or distributors, or that we suspect to be fraudulent.

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update your account and payment information so that we can complete your transactions and contact you as needed.

Payment is processed at the time of order through our third-party payment processors. We do not store your full payment card details.

5. SHIPPING AND DELIVERY

Orders are fulfilled and shipped by the Partner Brand responsible for your product. Shipping times vary by brand and are communicated on the product page or at checkout. SAINT MILES is not liable for delays caused by carriers, customs, weather, or other events outside our reasonable control. Risk of loss passes to you upon delivery to the carrier, except where prohibited by law.

International orders may be subject to import duties, taxes, and customs fees, which are the responsibility of the customer.

6. RETURNS AND REFUNDS

Returns and refunds are governed by our Returns & Refunds Policy, which is incorporated into these Terms by reference and available on the Site.

7. INTELLECTUAL PROPERTY

SAINT MILES® is a registered trademark. All content on the Site, including text, graphics, logos, images, photography, video, and the curation, arrangement, and design of the marketplace, is the property of SAINT MILES or its Partner Brands and licensors, and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent. Partner Brand trademarks remain the property of their respective owners.

8. BRAND SUBMISSIONS

If you submit your brand for consideration through the Site ("Submission"), you represent that you own or control all rights to the materials you submit and that your Submission is accurate. Submission does not guarantee acceptance to the marketplace, and SAINT MILES has sole discretion over curation decisions. Any commercial relationship with an accepted brand is governed by a separate written agreement, not these Terms. We are under no obligation to maintain Submissions in confidence or to compensate you for them.

9. USER COMMENTS AND FEEDBACK

If you send us ideas, suggestions, reviews, or other materials ("Comments"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, and publish those Comments in any medium. You agree that your Comments will not violate any third-party rights, contain unlawful or objectionable material, or contain malicious code. You are solely responsible for your Comments and their accuracy.

We may, but have no obligation to, monitor, edit, or remove content we determine to be unlawful, offensive, or otherwise objectionable.

10. PROHIBITED USES

You may not use the Site or its content: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any international, federal, state, or local law or regulation; (d) to infringe our intellectual property rights or those of others; (e) to harass, abuse, defame, or discriminate; (f) to submit false or misleading information; (g) to upload viruses or malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, or scrape; or (j) to interfere with the security features of the Site. We reserve the right to terminate your use of the Site for violating any prohibited use.

11. THIRD-PARTY LINKS AND TOOLS

The Site may include content, links, or tools provided by third parties. We are not responsible for examining or evaluating third-party content and do not warrant or assume liability for third-party materials, websites, or services. Complaints or questions regarding third-party products should be directed to the third party.

12. PRIVACY

Your submission of personal information through the Site is governed by our Privacy Policy, available on the Site.

13. DISCLAIMER OF WARRANTIES

The Site and all products and services delivered through it are provided "as is" and "as available" without any representation or warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except as expressly stated in these Terms or as required by law.

We do not guarantee that your use of the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SAINT MILES, its founders, officers, employees, affiliates, agents, contractors, and Partner Brands shall not be liable for any indirect, incidental, special, punitive, or consequential damages of any kind, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of the Site or any product purchased through it, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the amount you paid for the product or service giving rise to the claim.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SAINT MILES and its founders, officers, employees, affiliates, agents, contractors, licensors, and Partner Brands from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

16. SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

17. TERMINATION

These Terms are effective unless and until terminated by either you or us. We may terminate these Terms and your access to the Site at any time without notice if we believe you have violated any provision of these Terms. Obligations and liabilities incurred prior to termination survive termination, including Sections 7, 13, 14, 15, and 19.

18. ENTIRE AGREEMENT; WAIVER

These Terms, together with the policies referenced in them, constitute the entire agreement between you and SAINT MILES regarding your use of the Site and supersede any prior agreements. Our failure to enforce any provision shall not constitute a waiver of that provision.

19. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Before filing any claim, you agree to first contact us at hello@saintmiles.co and attempt in good faith to resolve the dispute informally for at least 30 days.

Any dispute that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court. You and SAINT MILES each waive the right to a jury trial and the right to participate in a class action.

20. CHANGES TO THESE TERMS

We reserve the right to update, change, or replace any part of these Terms by posting updates to the Site. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Site following any changes constitutes acceptance of those changes.
